1. Parties and definitions
These Terms are an agreement between Merhaba Tourism, a company registered in Türkiye whose registered details are shown in the Company details box on this page (“we”), and the business that opens an account on the portal (the “Company”).
- User: anyone who signs in with an email linked to the Company's account.
- Traveller: the person who uses an eSIM obtained by the Company.
- eSIM: a digital SIM for a data plan, delivered as a QR code and activation codes.
- Top-up: data or days added to an existing eSIM.
- Connectivity providers: the companies and mobile networks through which we supply eSIMs.
2. Acceptance and business-only relationship
The Company accepts these Terms and the Refund Policy, which forms part of them, by ticking the acceptance box when it creates its company account. With each acceptance we keep its date, the version of the Terms and the user who accepted. The person who registers confirms that they are authorised to act for the Company. Every order the Company places afterwards is governed by these Terms.
The portal is for businesses only. The Company confirms that it buys for commercial or professional purposes and is not a consumer under Turkish Consumer Protection Law No. 6502 or any similar law, so consumer distance-selling rules, including the right of withdrawal, do not apply. We may block an account, or refuse or cancel an order, where this is not the case.
3. The service
We sell prepaid travel eSIM data plans to companies, especially travel agencies, which supply them to their travellers. Plans are data only: no phone number, no calls, no SMS and no emergency calls.
We are a distributor, not a network operator; network service comes from our connectivity providers. Plans, destinations and providers may change, and any plan may be withdrawn at any time.
4. Account, sign-in and verification
Sign-up uses a work email and a confirmation link; sign-in uses a one-time code sent to the same email, with no passwords. Each email belongs to one company account.
Whoever controls the registered mailbox can use the account, so the Company must keep it secure. The Company is responsible for everything done in its account and for the accuracy of its details.
We may ask at any time for documents proving the Company's registration, such as a trade-registry extract or tax certificate. We may block an account at any time if information is false or incomplete, or if the documents are not provided.
5. Orders and delivery
The portal shows each plan's price and an estimated total. The final price is calculated when the order is placed and appears on the order page before payment. An order is executed only after we confirm receipt of payment. Placing an order in the portal is the Company's offer. The contract for each eSIM is concluded when we confirm payment and issue that eSIM; until then we may decline the order or any eSIM in it, returning anything paid for what is not issued.
eSIMs are then normally issued within seconds to a few minutes, but this is not guaranteed. Each eSIM is issued separately, so an order may be delivered in part. If an eSIM still cannot be issued after a retry, we return the amount paid for it; our staff arrange this manually and confirm it to the Company.
Anyone who has an eSIM's codes or link can install it, so the Company must share them only with the intended traveller. Each eSIM is delivered in the Company's account in the following ways:
- A QR code and activation codes.
- A traveller link, sent for example by WhatsApp, that opens without sign-in and works until the Company revokes or regenerates it.
- A PDF voucher with the Company's name and logo.
6. Prices, currency and taxes
For Companies established outside Türkiye, prices are in US dollars. Each Company has its own prices, which may change at any time; an order is charged at the price calculated when it is placed. If our cost rises before execution and an eSIM cannot be supplied at that price, we may cancel it and return what was paid for it.
For Companies resident in Türkiye within the meaning of Decision No. 32 on the Protection of the Value of Turkish Currency, every order and top-up is priced and paid in Turkish lira, and dollar amounts shown in the portal are for information only. Before payment, our staff send the Company a lira price, converted from our dollar price at the Central Bank of the Republic of Türkiye forex selling rate of that day. We confirm payment only after the Company accepts that lira price, which is then final and is not adjusted for later exchange-rate changes.
Portal prices exclude VAT and other taxes. The total on the order page is in US dollars before any VAT or lira conversion. Where Turkish law requires VAT or another tax, or a lira price applies, we send the Company the amount due before it pays, and that amount replaces the portal total for that order. The Company bears the taxes and charges in its own country.
7. Payment
Each order is paid separately; there is no prepaid balance and no credit. The Company pays by a method agreed with Merhaba Tourism (online payment is not yet available in the portal) and bears bank and transfer charges on its side. We issue invoices as Turkish law requires.
Any order not paid within 14 days is cancelled automatically. A daily purchase limit applies to each Company, counted on paid orders and top-ups per UTC day; ask us for your limit. We cannot confirm a payment that would take the day's total above it. An order or top-up larger than the limit can be confirmed only after we raise the Company's limit.
8. Devices, installation and validity
- The traveller needs a device that supports eSIM and is not locked to a carrier; the Company must check this before ordering.
- Installation needs an internet connection. An installed eSIM cannot be moved to another device, and if it is deleted from the device it may be lost for good.
- Each eSIM must be installed before its “Install before” date, about 180 days after issue; after that it expires and can be neither used nor refunded.
- Most plans start at the first network connection in the destination; some start at installation or at purchase, and the portal flags these when ordering.
- Some destinations need a manual APN setting, shown with the eSIM. Usage figures are approximate and may be two to three hours behind.
- On daily plans the high-speed allowance renews daily according to the network; after it is used, speed drops or data stops, depending on the plan. Stated speeds are best-case figures and are not guaranteed.
9. Networks and coverage
The service relies on local networks that we do not control. We do not guarantee coverage, speed or uninterrupted service, and a destination's network operator may change.
The device may appear online to be in another country, so some apps or websites may not work as expected. The Company reports network problems to us, and we work with our connectivity providers to resolve them.
10. Acceptable use
Prices assume normal use by a traveller on their own phone. Our connectivity providers apply their own fair-use and abnormal-usage rules, which may change without notice. If a connectivity provider reduces speed, suspends or revokes an eSIM because it considers the usage abnormal, we owe no refund beyond any refund or credit the provider grants for that eSIM, which we pass on to the Company.
If any item below is breached, we or our connectivity providers may reduce speed or suspend or revoke the eSIM, and we may suspend the Company's account; the section “Suspension and termination” sets out the effect on refunds. The following are not allowed:
- Use in routers, MiFi devices, dongles or IoT devices, or permanent sharing of the connection with other devices.
- Use as a permanent substitute for local home or office internet.
- Heavy continuous use unlike that of a normal traveller, automated traffic, or constant background consumption.
- Reselling or redistributing the data traffic itself (selling the eSIMs to travellers is allowed).
- Unlawful use, fraud, spam, or harm to the networks.
- Supplying eSIMs to, or for the benefit of, persons, entities or countries under sanctions, including those of Türkiye, the United Nations, the United States, the European Union and the United Kingdom. The Company confirms that neither it nor its travellers are subject to any of these sanctions.
11. Top-ups
- Available only on plans that support them, up to 9 per eSIM, and not after the eSIM has expired, been cancelled or been revoked.
- A top-up adds the data and days of the chosen top-up plan; on daily plans it adds 1 to 365 days.
- Top-ups are paid and executed like orders, at the price shown when the top-up is requested.
12. The Company and its travellers
The Company supplies the eSIMs to its travellers in its own name and is their first point of contact. Before use, it must tell them about device compatibility, the install deadline, when validity starts, the data-only service, the acceptable-use rules and the refund limits, and it must make sure they use the eSIMs lawfully.
The Company is responsible for any licence it needs to resell eSIMs in its country and for its obligations to its travellers, including consumer law. It may make no promise on our behalf. Some destinations or networks require the traveller to register the eSIM or provide identity details. The traveller must complete this; if it is not completed the network may block the eSIM, we are not liable, and an installed eSIM is not refunded for this reason.
To report a problem, the Company sends us the eSIM's ICCID and screenshots.
13. Logo, brand and intellectual property
The Company may upload its logo; its name and logo then appear on the traveller page and the PDF voucher.
The Company confirms that it has the right to use the name and logo it uploads and that they infringe no one's rights. It allows us to display them on its eSIM pages and vouchers; vouchers already downloaded and traveller links already sent keep showing them. The Company bears any claim arising from them.
The portal, its content and its software belong to us or our licensors and may not be copied. Our name and marks may not be used without our written permission.
14. Refunds
Refunds are governed by the Refund Policy, which forms part of these Terms. In short, only an eSIM that has never been installed can be refunded, and some plans cannot be refunded at all.
15. Suspension and termination
For misuse, breach of these Terms, suspected fraud, sanctions risk, or at the request of our connectivity providers or a public authority, we may suspend or block an account, refuse or cancel unpaid orders, suspend or revoke installed eSIMs without refund, and cancel never-installed eSIMs, in which case any refund due may be withheld against amounts the Company owes us or damage caused by the breach. We tell the Company in advance where possible.
A blocked Company cannot place orders or top-ups; its eSIMs already issued remain valid unless suspended, revoked or cancelled for these reasons.
The Company may stop using the portal at any time and ask us to close its account; we then block it and keep or anonymise its records as the Privacy Policy explains. We may end the service with prior notice, and eSIMs already issued remain valid as far as the networks allow.
16. Limitation of liability
To the extent the law allows, our total liability for any order is limited to the price paid for that order, and our total liability for any claim not related to a specific order is limited to the total price the Company paid us in the 3 months before the claim arose. We are not liable for indirect loss, lost profit or lost business, or for any compensation the Company pays to its travellers or others.
We are not liable for failures of mobile networks or of any other third party outside our control, unless caused by our own intent or gross negligence.
Nothing here limits liability for intent or gross negligence, or any liability that cannot be limited under Articles 115 and 116 of the Turkish Code of Obligations No. 6098.
The Company indemnifies us against any claim arising from its breach of these Terms, the personal data it enters, its logo, its travellers' misuse of the eSIMs, or any claim by its travellers or customers relating to the eSIMs it supplied to them, except to the extent caused by our intent or gross negligence.
17. Force majeure
Neither party is liable for delay or failure caused by events beyond its reasonable control, such as disasters, war, government action, power or internet outages, or failures of networks or connectivity providers. The price of eSIMs already delivered remains due.
18. Confidentiality
The Company keeps its prices, sign-in codes, eSIM codes and traveller links confidential. We keep the Company's business information confidential and use it only as these Terms and the Privacy Policy allow, unless the law requires disclosure.
19. Personal data
The Privacy Policy explains how we process personal data; we are the data controller for the Company's account data.
Entering traveller names or booking references is optional. The Company decides what to enter and why, and we process it on its behalf to provide the service. The Company confirms that it has a lawful basis and has informed its travellers as required by Turkish Personal Data Protection Law No. 6698 (KVKK) and any other law that applies to it. We recommend a booking reference rather than a full name.
20. Changes to these Terms
We may change these Terms for future orders only. We publish the new version here with a new date, and our staff inform Companies by email, to the address registered in the account, at least 15 days before it takes effect, unless the law or security requires a faster change.
21. Governing law and jurisdiction
These Terms and every order are governed by the laws of the Republic of Türkiye, excluding its conflict-of-law rules.
Before filing a lawsuit for a money claim, the parties apply to mediation where Article 5/A of the Turkish Commercial Code No. 6102 requires it. As both parties are merchants, the courts and enforcement offices at the registered seat of Merhaba Tourism in Türkiye have exclusive jurisdiction over any dispute between them. Merhaba Tourism may also bring proceedings before the courts of the Company's place of business.
22. Language of these Terms
These Terms are published in Arabic and English with the same content. If the two versions differ, the English version prevails.
23. Electronic records, notices and contact
Under Article 193 of the Turkish Code of Civil Procedure No. 6100, the parties agree that the portal's electronic records are valid evidence, including order, payment and refund records and the emails we send, while the Company may still prove otherwise.
Notices of default or termination are sent as Article 18(3) of the Turkish Commercial Code requires; other notices may be sent by email to the address registered in the account.
As neither party is a consumer, the parties agree under Articles 3(3) and 4(3) of Law No. 6563 on the Regulation of Electronic Commerce that Articles 3(1)–(2) and 4(1)–(2) of that Law apply only as described in these Terms. The Company can save or print these Terms at any time.
To contact us, use the contact details on the Support page. Our company details appear in the Company details box on this page.
24. General
We may transfer our rights and obligations under these Terms to a company of our group or to a successor of our business, and will inform the Company. The Company may not transfer its account or its rights without our written consent. If we do not enforce a right, we do not waive it.
